  1. DDS’ approach to privacy

1.1       DDS Wireless International Inc. (“DDS”, “we”, “our”, or “us”) is committed to protecting your privacy. This privacy policy sets out how we collect, store, process, transfer, share and use data that identifies or is associated with you (“personal information”) and information regarding our use of cookies and similar technologies.

1.2       DDS develops and licenses cloud-based software for demand responsive transit solutions and taxi management solutions and mobile application as well as other products and services that we make available (the “DDS Service”).

1.3       This privacy policy applies to the DDS Service.

1.4       Before accessing or using the DDS Service, please ensure that you have read and understood our collection, storage, use and disclosure of your personal information as described in this privacy policy. By accessing or using the DDS Service, you are accepting and consenting to the practices described in this privacy policy.

1.5       Our Role as Controller and Processor

DDS may process personal information in different capacities depending on the processing activity and the products or services being provided.

DDS as a Controller. DDS acts as a controller when we determine the purposes and means of processing personal information. This includes personal information processed in connection with our own employees, suppliers, direct customers, business relationships, website, sales and marketing activities, customer administration, support, recruitment, security, and internal business operations.

DDS as a Processor or Service Provider. DDS acts as a processor or service provider when we process personal information on behalf of business customers in connection with the products or services we provide to them. In these circumstances, the customer determines the purposes for which the personal information is processed, and DDS processes that information in accordance with the customer’s instructions, applicable agreements, and applicable privacy and data protection requirements.

The responsibilities of DDS and its customers are further defined in applicable service agreements and data processing agreements.

If your personal information has been provided to DDS by one of our customers and you wish to exercise rights relating to that information, you should generally direct your request to the relevant customer. DDS will assist customers in responding to privacy rights requests where required by applicable law and our agreements.

1.6       Artificial Intelligence and Automated Processing

DDS may use automated processing technologies, including artificial intelligence, machine learning, optimization algorithms, and other automated tools, in connection with certain products, services, and business operations.

Depending on the applicable product or service, these technologies may be used to support functions such as routing, scheduling, dispatching, optimization, forecasting, data analysis, service improvement, customer support, security, or other operational purposes.

Where personal information is processed using automated technologies, DDS will process that information in accordance with applicable privacy laws and the purposes described in this Privacy Policy.

Where DDS uses personal information to make a decision based exclusively on automated processing and applicable law provides additional rights in relation to that decision, DDS will provide the required notice and information. Depending on the applicable law, individuals may have the right to request information about the personal information used, the principal factors or parameters involved in the decision, request correction of inaccurate personal information, or submit observations to a person able to review the decision.

Where DDS processes personal information through automated technologies on behalf of a customer, the customer may be responsible for providing applicable notices and responding to requests from individuals, and DDS will assist the customer as required by applicable law and our agreements.

1.7     Privacy by Design and by Default

DDS incorporates privacy considerations into the design, development, implementation, and ongoing operation of our products, services, systems, and business processes.

We seek to limit the collection and use of personal information to what is reasonably necessary for the identified purposes, apply appropriate access controls and security safeguards, and retain personal information only for as long as necessary or required by law.

Where required by applicable privacy law, DDS conducts privacy impact assessments for new systems, technologies, products, services, or material changes involving personal information. These assessments are intended to identify and address privacy risks throughout the lifecycle of personal information.

DDS also considers privacy when selecting default settings and designing features that involve the collection, use, disclosure, retention, or deletion of personal information.

Privacy Governance and Accountability

DDS maintains a privacy governance program designed to support compliance with applicable privacy and data protection laws and to promote responsible handling of personal information throughout its lifecycle.

DDS has designated responsibility for overseeing its privacy program, including the development and maintenance of privacy policies, procedures, and practices relating to the collection, use, disclosure, retention, protection, and disposal of personal information.

Our privacy governance activities may include:

defining roles and responsibilities for the protection of personal information;
maintaining policies and procedures relating to privacy and data protection;
providing appropriate privacy and security awareness and training to personnel;
assessing privacy risks associated with new systems, technologies, products, services, and material changes to existing processing activities;
conducting privacy impact assessments where required by applicable law;
overseeing service providers and subprocessors that process personal information on our behalf;
maintaining processes for responding to privacy inquiries, complaints, and individual rights requests;
maintaining processes for identifying, investigating, documenting, and responding to privacy and security incidents; and
periodically reviewing and updating our privacy practices to reflect changes in our operations, technology, and applicable legal requirements.

DDS’s Privacy Officer is responsible for overseeing compliance with this Privacy Policy and for receiving privacy-related questions, requests, and complaints.

  1. Personal information we collect about you and how we use it

2.1       Information you give to us. We collect personal information about you when you voluntarily submit information directly to us by filling in forms on our Website or by corresponding with us by phone, email or other means. This includes information you provide when you register to use our Website, subscribe to the DDS Service, participate in any discussion boards, forums or other social media functions on our site or enter a competition, promotion or survey and when you report a problem with our Website, or use some other feature of the DDS Service as available from time to time.

2.2       If you choose not to provide personal information, we may not be able to provide the DDS Service to you or respond to your other requests.

2.3       Information we receive from other sources. We may receive personal information about you from individuals or corporate entities which are subscribers to the DDS Service (“Subscribers”) where you are to be designated a user of the DDS Service. We may receive personal information about you if you use any of the other websites we operate or the other services we provide from time to time. We also work closely with third parties (including, for example, subcontractors in technical, payment and delivery services, advertising networks, analytics providers, search information providers, credit reference agencies) and may receive information about you from them, subject to your agreements with them.

2.4       The table at Annex 1 sets out the categories of personal information you provide to us and that we receive from other sources and how we use that information. The table also lists the legal basis which we rely on to process the personal information and information as to how we determine applicable retention periods.

2.5       We also automatically collect personal information about you indirectly about how you access and use the DDS Service and information about the device you use to access the DDS Service.

2.6       The table at Annex 2 sets out the categories of personal information we collect about you automatically and how we use that information. The table also lists the legal basis which we rely on to process the personal information and information as to how we determine applicable retention periods.

2.7       We may link or combine the personal information we collect and/or receive about you and the information we collect automatically. This allows us to provide you with a personalized experience regardless of how you interact with us.

2.8       We may anonymize and aggregate any of the personal information we collect (so that it does not identify you). We may use anonymized information for purposes that include testing our IT systems, research, data analysis, improving the DDS Service and developing new products and features. We may also share such anonymized information with others.

  1. Disclosure of your personal information

3.1       We may share your personal information with any member of our group, which includes our subsidiaries. We will not share your personal information with any third parties except as described in this privacy policy or in connection with the Service. We may share your information with selected third parties, including:

  1. Business partners, vendors, suppliers, and subcontractors who perform services on our behalf (these companies are authorized to use your personal information only as necessary to provide these services to us);
  2. Analytics and search engine providers that assist us in the improvement and optimization of our Website;
  3. Credit reference agencies for the purpose of assessing your credit score where this is a condition of us entering into a contract with you; and
  4. Payment processors for the purpose of fulfilling relevant payment transactions if you have this feature of the DDS Service enabled.

Service Providers and Subprocessors

DDS may engage third-party service providers and subprocessors to support the delivery, operation, security, maintenance, and improvement of the DDS Service and our business operations.

DDS requires service providers and subprocessors that process personal information on our behalf to protect that information in accordance with applicable privacy and data protection laws and their contractual obligations to DDS. These obligations may include requirements relating to confidentiality, information security, permitted uses of personal information, incident notification, retention and deletion, and the engagement of additional subprocessors.

DDS evaluates the privacy and security practices of service providers and subprocessors where appropriate based on the nature of the services provided and the personal information involved.

Where DDS acts as a processor on behalf of a customer, DDS will engage subprocessors in accordance with applicable contractual and legal requirements and will remain responsible for managing its subprocessor relationships as required by applicable law.

Where personal information is transferred or accessed across jurisdictions, DDS applies appropriate contractual, organizational, and technical safeguards as required by applicable law.

3.3       In certain situations, we may be required to disclose personal information in response to lawful requests by public authorities, including to meet law enforcement requirements.

If we are under a duty to disclose or share your personal data in order to comply with any legal obligation, or in order to enforce or apply our Terms of Service and other agreements; or to protect the rights, property, or safety of DDS, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection, credit risk reduction, and law enforcement.

3.4       Publicly accessible blogs. Our Website includes publicly accessible blogs or community forums. Any information you provide in these areas may be read, collected and used by others who access them. This includes information posted on our public social media accounts. To request removal of your personal information from our blog or community forum, contact us at sales@ddswireless.com.  In some cases, we may not be able to remove your personal information, in which case we will let you know if we are unable to do so and why.

3.5       Testimonials. With consent, we may display personal testimonials of satisfied customers on our site, along with other endorsements. If you wish to update or delete your testimonial, you can contact us at sales@ddswireless.com.

3.6       We may disclose personal information to third parties in connection with a business transaction. Personal information may be disclosed to third parties in connection with a transaction, such as a merger, sale of assets or shares, reorganization, financing, change of control or acquisition of all or a portion of our business. If we are involved in a merger, acquisition, or sale of all or a portion of its assets, you will be notified via email and/or a prominent notice on our Website of any change in ownership that impacts the use of your personal information, as well as any choices you may have regarding your personal information.

  1. Marketing and advertising

4.1       From time to time we may contact you with relevant information about the DDS Service and our other products and services. Most messages will be sent electronically. For some messages, we may use personal information we collect about you to help us determine the most relevant information to share with you.

4.2       If you do not want to receive such messages from us, you will be able to tell us by selecting certain boxes on forms we use when we first collect your contact details.  You can also change your marketing preferences at any time by contacting us at marketing@ddswireless.com.

  1. Storing and transferring your personal information

5.1       Security. DDS has implemented administrative, technical, and physical safeguards to protect its and its customers information. For further information on DDS’s security controls and practices, please contact generalcounsel@ddswireless.com.  Where we have given you (or where you have chosen) a password which enables you to access certain parts of our Service, you are responsible for keeping this password confidential.  Subscribers should not share their password with anyone.

5.2       While no transmission of information via the internet is completely secure, we take reasonable measures to protect your personal information. We cannot guarantee the security of your personal information transmitted to our Website or through any DDS Service; any transmission of information via the internet is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorized access.

5.3       International Transfers of your Personal Information.

Personal information is not generally transferred outside the European Union (“EU”) or European Economic Area (“EEA”).

Where personal information is transferred or accessed outside the EU or EEA, DDS will comply with applicable privacy and data protection laws and will use appropriate legal transfer mechanisms and safeguards as required.

Such safeguards may include appropriate contractual protections, data processing agreements, and other measures required under applicable data protection law.

5.4     Privacy and Security Incidents

DDS maintains procedures to identify, investigate, contain, and remediate privacy and security incidents involving personal information.

If DDS becomes aware of an incident involving personal information, we will assess the nature and scope of the incident, the information affected, the potential risks to individuals, and any notification or reporting obligations under applicable law.

Where required by applicable law, DDS will notify affected individuals, customers, regulatory authorities, or other appropriate parties and will provide information intended to help affected individuals understand and mitigate potential risks.

DDS also maintains records of privacy and security incidents where required by applicable law and takes reasonable measures to reduce the risk of similar incidents occurring in the future.

  1. Retaining your information

6.1       We will only retain your personal information for as long as necessary to fulfill the purposes we collected it for, including for the purposes of our legitimate business interests and satisfying any legal or reporting requirements.

6.2       To determine the appropriate retention period for personal information, we consider the amount, nature, and sensitivity of the personal information, the potential risk of harm from unauthorized use or disclosure of your personal information, the purposes for which we process your personal information and the applicable legal requirements.

7.1       In accordance with applicable privacy law, you have the following rights in respect of your personal information that we hold:

  1. Right of access and portability. The right to obtain access to your personal information along with certain information, and to receive that personal information in a commonly used format and to have it ported to another data controller.
  2. Right to rectification. The right to obtain rectification of your personal information without undue delay where that personal information is inaccurate or incomplete.
  3. Right to erasure. The right to obtain the erasure of your personal information without undue delay in certain circumstances, such as where the personal information is no longer necessary in relation to the purposes for which it was collected or processed.
  4. Right to restriction. The right to obtain the restriction of the processing undertaken by us on your personal information in certain circumstances, such as where the accuracy of the personal information is contested by you or the sale of your personal information for a period enabling us to verify the accuracy of that personal information.
  5. Right to object. The right to object, on grounds relating to your particular situation, to the processing of your personal information, and to object to the processing of your personal information for direct marketing purposes, to the extent it is related to such direct marketing.
  6. Right to non-discrimination. The right to non-discrimination for exercising your rights as outlined in this policy. This includes, but is not limited to, denying you goods or services, charging you different prices for similar services, or providing a different level or quality of service.

Upon request, we will provide you with information about whether we hold any of your personal information. You may access, correct or request deletion of your personal information by logging into your account, or by contacting us at sales@ddswireless.com. We will respond to your request within the time period required by applicable law.

7.3     California Privacy Rights

If you are a California resident and the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”), applies to the processing of your personal information, you may have the right to:

Know what personal information DDS collects, uses, discloses, sells, or shares about you;
Request access to the personal information DDS maintains about you;
Request deletion of certain personal information;
Request correction of inaccurate personal information;
Opt out of the sale or sharing of personal information, where applicable;
Limit certain uses and disclosures of sensitive personal information, where applicable; and
Exercise your privacy rights without receiving discriminatory treatment.

Where required by applicable law, DDS will also recognize valid opt-out preference signals, such as the Global Privacy Control.

Some of these rights are subject to exceptions and limitations under applicable law. Requests may be subject to reasonable verification of your identity or authority to make the request.

DDS will provide additional information or mechanisms for exercising rights relating to the sale or sharing of personal information or the use of sensitive personal information where required by applicable law.

Québec Privacy Rights

If you are a resident of Québec, you may have additional rights regarding your personal information under Québec privacy law, including the right to:

Request access to personal information DDS holds about you;
Request correction of inaccurate, incomplete, or outdated personal information;
Withdraw consent to the use or disclosure of personal information where processing is based on consent, subject to applicable legal or contractual restrictions;
Request, where applicable, that computerized personal information collected from you be provided in a structured and commonly used technological format and, where permitted by law, transmitted to another authorized person or organization;
Request, in circumstances provided by law, that DDS cease disseminating personal information or de-index or re-index a hyperlink associated with your name;
Be informed when a decision concerning you is based exclusively on automated processing of your personal information and exercise the rights applicable to such decisions; and
Submit a complaint or concern regarding DDS’s handling of your personal information to our Privacy Officer.

Where a decision concerning you is based exclusively on automated processing, you may request information regarding the personal information used to make the decision and the reasons, principal factors, and parameters that led to the decision. You may also request correction of the personal information used and have an opportunity to present observations to a person capable of reviewing the decision.

These rights are subject to the conditions, exceptions, and limitations provided by applicable law.

8.1       Our Service uses cookies and similar technologies (collectively referred to as cookies) to distinguish you from other users of the DDS Service. This helps us to provide you with effective usage of the DDS Service. This helps us enhance and personalize your user experience, to monitor and improve our Website and services, and for other internal purposes. You will continue to receive generic ads.

8.5       You block cookies by activating the setting on your browser that allows you to refuse the setting of all or some cookies. However, if you use your browser settings to block all cookies (including strictly necessary cookies) you may not be able to access all or parts of our site.

8.6       Social Media. Our Website includes social media features, such as Facebook Like button and widgets such as the Share button. These features may collect your IP address, which page you are visiting on our Website, and may set a cookie to enable the feature to function properly. Social media features and widgets are hosted on our site or by a third party, and your interactions with these features are governed by the privacy policy of the company providing it.

9.1       The DDS Service may, from time to time, contain links to and from third party websites. If you follow a link to any of these websites, please note that these websites have their own privacy policies and that we do not accept any responsibility or liability for their policies. Please check the individual policies before you submit any information to those websites.

9.2       Some of the pages on our Website may utilize framing techniques to serve content to/from our partners while preserving the look and feel of our Website. Please be aware that you are providing your personal information to these third parties and not to DDS.

10.1     The DDS Service is not directed at persons under 16 and we do not intend to collect personal information from children under 16 in our capacity as a controller. If you become aware that a child has provided us with personal information without appropriate consent, then please contact us using the details below so that we can take the appropriate steps in accordance with our legal obligations and this privacy policy.

11.1     We may update this privacy policy from time to time and so you should review this page periodically. When we change this privacy policy in a material way, we will update the “last modified” date at the end of this privacy policy. Changes to this privacy policy are effective when they are posted on this page.

12.1     If we need to provide you with information about something, whether for legal, marketing or other business related purposes, we will select what we believe is the best way to get in contact with you.
